Creator Management Partner Agreement

Company: AHAM INNOVATIONS PRIVATE LIMITED

Platform: ZocoLive · Policy commencement: 14 February 2026

01

Parties and role

This Agreement is between AHAM INNOVATIONS PRIVATE LIMITED (“Company”) and the Creator Management Partner (“Partner”) identified in the electronic acceptance record.

The Partner’s actual legal name, legal form, Partner ID and authorised representative’s identity will be recorded. An individual accepts on their own behalf, a proprietor accepts on behalf of their proprietorship, and an entity accepts through its authorised representative. The person accepting must be at least 18 years old and legally competent to contract.

The Partner manages associated Creators, verifies bills and pays their entitlements. The Partner is an independent provider of its own management services and, where validly authorised, a representative with limited authority to receive Creator funds and pay them onward.

The title “Partner” does not create a legal partnership with the Company or unrestricted authority to bind the Company.

02

Electronic acceptance and records

Before acceptance, the Partner will have an opportunity to read the complete Agreement and applicable documents and download or save a copy.

The Partner accepts this Agreement by accessing their authorised account, actively selecting the checkbox and clicking “Accept Agreement & Submit” or an equivalent button. A preselected checkbox, silence or merely visiting the website does not constitute acceptance.

The Company will retain the accepting person’s identity, representative authority, Partner ID, complete accepted Agreement version, acceptance date and time, and the Company’s approval record. Necessary security and verification records may also be retained under the applicable privacy notice.

This process does not require a handwritten signature on paper, an offline signed agreement or an uploaded scan of a signed agreement. Electronic acceptance does not, however, create an exemption from applicable stamp duty or other mandatory legal formalities.

The Partner may report an error or suspected unauthorised activity concerning an acceptance record. Company records will not be treated as conclusive evidence that cannot be challenged.

03

Two-stage KYC and activation

The Partner first submits a government-issued identity document in the app and then completes full KYC on the Company’s designated website. This may include name, bank account details, PAN, identity information, a verification video and signature-related information described in the applicable KYC Notice.

Signature-related information collected during KYC is used for identity verification; it is not a requirement to sign this Agreement offline. Acceptance of this Agreement takes place through the electronic process in Section 2.

Business identity, individual identity and representative authority will be separately identified and verified where applicable. Aadhaar use is subject to the KYC Notice, necessary consent and applicable alternative-verification arrangements.

Consent to KYC data processing, applicable Aadhaar consent, video-recording consent and acceptance of this Agreement will be obtained separately.

Submitting documents, recording a video declaration or selecting the Agreement checkbox does not by itself activate the Partner. Activation will be confirmed after Company verification and approval. Changes to bank account details require secure re-verification.

04

Creator management

The Partner must maintain accurate Creator records, assist lawful onboarding and work with approved Creators.

The Partner must not receive a Creator’s funds without the necessary agreement and valid collection authority. A Partner’s recommendation does not replace Company approval for live access.

False identities, taking control of Creator login credentials, coercion, exploitation, undisclosed exit fees and misleading earnings promises are prohibited. Additional live streaming must not be demanded as a condition for releasing earned payments.

Recharge collection and coin sales require separate Company authorisation.

05

Draft bills and separate electronic approval

The Partner authorises the Company to prepare draft bills and settlement statements on the Partner’s behalf using verified records.

Bills must identify the relevant period, reference, version, Creator-wise breakdown or securely linked detailed records, Creator-payable amounts, Partner commission, applicable taxes, adjustments and total payment. Creator funds are not Partner profit.

The Partner or its authorised representative must review each bill online and separately approve it using the “Approve Bill” button. Discrepancies may be reported before approval.

Acceptance of this Agreement is not advance approval of all future bills. Company preparation of a bill does not constitute Partner approval.

The system must retain the specific bill version, approving person’s identity and authority, and approval date and time. Material corrections require a new version and renewed electronic approval. Original and revised records will be preserved.

Bill approval does not waive the right to correct genuine errors, independent Creator rights or the application of mandatory law.

06

Taxes and statutory invoices

A settlement statement is not automatically a statutory tax invoice. The actual supply and supplier determine invoicing, GST, TDS and certificate responsibilities.

Company preparation of a draft does not remove the supplier’s statutory duties. Separately identifying Creator funds and commission does not itself establish a tax exemption or a “pure agent” exclusion from taxable value.

False invoices, fabricated approvals and backdated acceptance are prohibited.

07

Company payment

Following Partner activation, valid Creator authority, electronic approval of the relevant bill and reconciliation, the Company will pay undisputed dues to the verified Partner bank account.

Regular Company-to-Partner payment dates are the 5th, 15th and 25th of each month, subject to the Settlement Schedule.

Bill approval, transfer initiation and receipt in the bank account are separate events and must each be accurately recorded.

Payment under a valid collection arrangement discharges the corresponding Company obligation to the extent legally effective. The Company remains responsible for its own breach, payments routed incorrectly and obligations that cannot legally be excluded.

The Company does not automatically guarantee every Partner payment default. Any additional amount legally due remains payable.

08

Onward payment to Creators

The Partner must pay received Creator-payable funds to the relevant Creators without undue delay and provide the calculation and payment reference.

Creator funds must not be used to finance operating expenses, loans or payments owed to another Creator. Deductions require a lawful, accepted basis and must not be duplicated.

Creator-wise records of receipts, entitlements, adjustments, transfers and unpaid balances must be maintained. Failed or returned transfers remain payable.

An additional recharge, gift, deposit or waiver must not be required before releasing earned funds. A Company transfer to the Partner is not proof that the Creator has received payment.

09

Complaints and data use

Creators may complain directly to the Company. The Partner must provide relevant bills, electronic approvals and payment evidence and cooperate with proportionate reconciliation or audit.

Unrestricted access to unrelated private bank transactions is not authorised. Serious discrepancies may justify restricting future transfers while preserving unrelated legitimate entitlements.

Creator data must be used only for authorised functions. No unrestricted access to complete Aadhaar copies, private chats or login credentials is granted. Marketing and unrelated AI training are not authorised.

Relevant data-security incidents must be reported promptly to the Company, while the Partner also fulfils its independent legal reporting obligations.

10

Termination and responsibility

Either party may terminate this arrangement by written electronic notice through the designated online system or registered email. Serious fraud, safety or legal concerns may justify immediate restrictions.

Accrued dues survive termination. The parties must cooperate with Creator transitions, closing records and reconciliation. New payment cycles must not be used to postpone an overdue payment indefinitely.

The Partner is responsible under applicable law for proven losses caused by its own fraud, misuse of Creator funds or breach. Recovery must be substantiated and proportionate and must not automatically be deducted from unrelated Creator funds.

The Grievance Redressal Policy and statutory remedies remain available. Indian law governs. Competent Kolkata courts have jurisdiction, subject to mandatory jurisdiction elsewhere.

11

Changes and renewed acceptance

Material changes will be notified to the Partner. Where renewed acceptance is required, the revised version will be presented for fresh electronic acceptance, and the acceptance record will be retained.

Acceptance of this Agreement is not advance approval of undisclosed future terms or amended bills. Changes must not retrospectively remove accrued rights.

12

Partner’s electronic declaration

I confirm that I am at least 18 years old and authorised to accept this Agreement on behalf of the identified Partner. The information provided is accurate. I have read and accept the Creator Management Partner Agreement and the applicable documents presented to me.

I authorise the Company to prepare draft bills, subject to my review and separate electronic approval of each bill. I accept responsibility for paying funds received for Creators onward to the relevant Creators.

I understand that consent to KYC data processing and video recording is separate, and this acceptance does not constitute consent to undisclosed future terms.
